So saying “XRPN is already listed on Nasdaq” would be incorrect.
It isn't.
Not yet.
September 30 Is Now the Date to Watch
This gives XRP followers a very clear catalyst date.
September 30, 2026.
Armada shareholders will vote on whether to approve the proposed combination.
If approved and completed, Evernorth expects the combined company to trade under XRPN shortly afterward, with closing targeted for late Q3 or early Q4.
That would create a publicly traded company whose core balance-sheet strategy revolves around XRP.
For traditional investors who cannot—or do not want to—hold crypto directly, that creates another route to XRP exposure.
But There's a Catch
Crypto treasury companies come with an unusual risk.
Their shares do not necessarily trade at the same value as the crypto they own.
A treasury company can trade at a premium to the value of its holdings.
It can also trade below them.
CoinDesk notes that some digital-asset treasury companies have traded below the value of the tokens sitting on their own balance sheets. That can make future fundraising more difficult because issuing new shares may dilute existing investors.
This means an XRP rally would not automatically guarantee XRPN stock rises by exactly the same percentage.
Investors would also be pricing:
management,
operating costs,
capital structure,
debt,
share dilution,
treasury strategy,
and market confidence.
There's Another Interesting Twist
Evernorth amended its transaction terms in August to account for changes in XRP's price since the original deal was signed.
The company said the adjustment is intended to align the final share count with the market value of its underlying XRP holdings, potentially resulting in each outstanding Armada share representing a larger percentage of the treasury at closing.
That's important because XRP itself is volatile.
When a business is effectively being built around a crypto treasury, movements in the underlying asset can change the economics of the entire transaction before the company even lists.
Could This Create XRP Buying Pressure?
Potentially.
The original transaction announcement said net proceeds would primarily fund open-market XRP purchases.
But that doesn't mean another $1 billion of XRP must suddenly be bought on one exchange or on one day.
The transaction includes a combination of capital sources and XRP-related contributions, and deployment can occur over time.
So headlines claiming “Evernorth will instantly buy $1 billion of XRP” would be too simplistic.
The more meaningful question is how much XRP the company ultimately holds and how aggressively it deploys capital after closing.
XRP Could Be Getting Something Bitcoin Made Famous
Bitcoin changed institutional crypto markets partly through public companies placing BTC on their balance sheets.
Strategy became the most famous example.
Evernorth is essentially testing whether a similar capital-markets model can be built around XRP—but with one major difference:
it wants to actively use the XRP.
Rather than simply accumulating tokens indefinitely, Evernorth intends to participate in the network and seek returns from the XRP ecosystem itself.
If it works, other firms could eventually copy the structure.
If it fails, it could demonstrate why active crypto-treasury strategies carry considerably more complexity than passive holding.
Final Take
This might be one of the most important XRP capital-markets stories of September.
A Ripple-backed company targeting an XRP treasury of institutional scale has cleared its Form S-4 effectiveness milestone.
It has investors including:
Ripple.
SBI.
Pantera Capital.
Kraken.
Arrington Capital.
And it expects to raise more than $1 billion in gross proceeds around the transaction.
Now only one of the biggest remaining hurdles is approaching:
September 30.
If shareholders approve the deal and the transaction closes, Nasdaq could gain a new ticker:
XRPN.
Not an XRP ETF.
Not Ripple stock.
A public company built specifically around owning—and attempting to grow—an
