The architecture of artificial intelligence is becoming broader by the day. It no longer begins and ends with the processors that power calculations; increasingly, it also includes the models, datasets, software and communities through which developers build applications. Nvidia’s latest move places it directly inside that expanding landscape.

Nvidia has agreed to acquire Hugging Face for approximately $12.93 billion, one of the chipmaker’s largest acquisitions. The transaction represents a significant expansion beyond Nvidia’s traditional hardware business and into the open artificial intelligence ecosystem.

Hugging Face operates a platform where developers can find, share and deploy open-source artificial intelligence models, datasets and applications. Founded in 2016, the New York-based company has become an important meeting point for developers working with open models and AI tools.

The transaction includes approximately $11.9 billion to be paid to Hugging Face investors, alongside an equity-based retention program worth up to $1 billion for employees joining Nvidia. The deal is expected to close during the first half of 2027, subject to customary conditions and regulatory approvals.

For Nvidia, the attraction lies partly in access to a large developer community. Hugging Face gives Nvidia a closer connection to the people building AI applications, potentially creating another pathway for the company to expand the use of its computing technology as developers move from experimentation toward deployment.

The acquisition also arrives as open AI models gain attention from businesses looking for alternatives to expensive proprietary systems. Open models can be downloaded, modified and deployed by developers, giving organizations greater flexibility over how artificial intelligence is built and operated. Reuters noted that demand has increased as companies consider the costs associated with large-scale AI deployment.

Nvidia has sought to reassure the developer community that Hugging Face will retain its open character. Chief Executive Jensen Huang said the platform would remain open and that developers would continue to be able to choose their models, frameworks, cloud providers and computing platforms. Nvidia has also committed to allowing support for other semiconductor vendors.

That promise is significant because Nvidia’s dominance in AI computing has made the company a central part of the technology boom. Bringing a major open AI platform into the company could raise questions about how hardware preferences might influence the developer ecosystem. Reuters reported that some analysts and developers have already raised concerns about whether Nvidia could eventually favor its own technology.

The acquisition also reflects Nvidia’s growing financial capacity. The company had more than $22 billion in cash at the end of July, giving it substantial resources to pursue strategic investments as the AI industry continues to expand. At the same time, major customers such as Meta, Microsoft and OpenAI are developing their own chips, creating an incentive for Nvidia to broaden its position within the AI value chain.

Hugging Face was last valued at $4.5 billion during its 2023 funding round. The new transaction therefore represents a substantial increase in the company’s implied value and signals the strategic importance Nvidia places on open models, developer tools and the wider software ecosystem surrounding artificial intelligence.

The deal ultimately places Nvidia at another intersection of the AI economy. Its processors remain central to computation, but the Hugging Face acquisition points toward a broader ambition: connecting hardware with the models, developers and applications that determine how artificial intelligence is used. The transaction now awaits regulatory approval before the next chapter can begin.
